1. Parties and Agreement
These Terms of Service (“Terms”) govern your use of Criterio, operated by NTUS AB, org. no. 556696-5025, (“NTUS”, “we”, “us”). By ordering a Managed Audit or activating an Agency Platform subscription you agree to these Terms. If you are acting on behalf of a legal entity, you represent that you have authority to bind that entity.
2. Services
Criterio offers two distinct service tracks:
Track 1 — Managed Audit. NTUS performs a technical compliance audit of your specified digital asset and delivers a written report and, where applicable, a certificate. NTUS carries professional liability for the audit work performed under this track.
Track 2 — Agency Platform. NTUS provides you with subscription-based portal access, automated testing tools, checklists, and co-branded report templates. You perform audits on behalf of your own clients using these tools. You assume full responsibility for audit conclusions, reports, and certificates you issue under this track.
3. Managed Audit (Track 1)
3.1 Scope
The audit covers the specific URL set, user flows, and asset types defined in your order. Pages, flows, or file types not included in the agreed scope are not covered.
3.2 Standards
Audits are conducted against the standard version current at the time of engagement (currently WCAG 2.2, and/or EAA / EN 301 549, and/or GDPR as ordered). If a standard is updated after your order is confirmed, the version in force at order confirmation applies unless you request otherwise in writing.
3.3 Point-in-time findings
The report documents the state of the audited asset during the testing period. NTUS does not monitor your asset on an ongoing basis. Findings may become outdated as your product changes, and NTUS accepts no responsibility for compliance status after the audit period.
3.4 Remediation
Where NTUS provides remediation guidance, that guidance reflects our professional judgment at the time of writing. Implementation of fixes is your responsibility. NTUS does not guarantee that following guidance will result in full compliance, as outcomes depend on your development environment and implementation quality.
3.5 Payment
Payment for Managed Audits is due in full at the time of order, processed via Stripe through the Criterio checkout. Work begins only after payment is confirmed. NTUS will issue a receipt and VAT invoice automatically upon payment.
3.6 Cancellation
Orders may be cancelled without charge within 5 business days of confirmation, provided NTUS has not yet begun work. Once work has commenced, the full order price is due.
4. Agency Platform (Track 2)
4.1 Subscription
Access is granted on a monthly or annual subscription basis at the tier selected at sign-up. Annual subscriptions are billed in advance. Monthly subscriptions renew automatically unless cancelled.
4.2 Payment
Agency Platform subscriptions are invoiced in arrears (monthly) or in advance (annual) with 30-day net payment terms. Invoices are sent by email to the billing address on your account. Failed or overdue payments may result in suspension of portal access after 7 days’ written notice.
4.3 Cancellation and refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Prepaid annual fees are non-refundable except where required by mandatory law.
4.4 Your responsibility as the auditor
When you issue reports or certificates to your clients using Criterio’s tools, you are acting as the auditor of record. You must:
- Apply professional judgment; do not rely solely on automated output.
- Ensure reports accurately reflect your findings.
- Only certify compliance you have independently verified.
- Maintain your own professional indemnity insurance appropriate to the work you perform.
NTUS is not liable for reports, statements, or certificates you produce or deliver to your clients.
4.5 Co-branded materials
Co-branded reports and templates may be used in client deliverables within the scope of your active subscription. You may not represent that NTUS or Criterio has performed, approved, or stands behind audits you conducted yourself.
4.6 Permitted use
The platform is licensed for legitimate professional accessibility and compliance work. Bulk automated scraping, reselling raw API access, or using the platform to generate misleading compliance documentation is prohibited.
5. Reports and Certificates
5.1 Basis of issuance
All reports and certificates issued by NTUS reflect findings at the time of audit. They are not representations of current or future compliance status.
5.2 Certificate validity
Certificates state an explicit validity period. After that period, or after material changes to the audited product, the certificate should be considered expired. Displaying an expired certificate as current is your responsibility to avoid.
5.3 Not a legal guarantee
A Criterio report or certificate demonstrates that a qualified technical review was performed. It is not a legal determination of compliance with the EAA, WCAG, GDPR, or any other regulation. NTUS is not a law firm and does not provide legal advice. If you face regulatory enforcement, litigation, or procurement requirements, you should obtain independent legal counsel.
6. Intellectual Property
NTUS retains all intellectual property rights in the Criterio platform, tools, methodologies, and report templates. You retain ownership of the content and data you submit for auditing.
We grant you a non-exclusive, non-transferable licence to use the reports and certificates delivered to you for your internal and client-facing purposes, provided you do not remove attribution to Criterio/NTUS AB.
7. Data Processing
7.1 Data we process
To deliver services, NTUS processes your account data, order information, and technical data about the URLs and assets you submit. For Track 2 customers, this may include technical data about your clients’ assets.
7.2 Data processor agreement
Where NTUS processes personal data on your behalf (e.g. crawling assets that return personal data in their responses), NTUS acts as a data processor and you act as the data controller. Our Data Processing Agreement, available at criterio.eu/dpa, is incorporated into these Terms and applies to such processing.
7.3 Your obligations
You are responsible for ensuring you have the legal basis to submit URLs and assets for auditing, including those belonging to your clients.
8. Confidentiality
Each party will keep the other’s confidential information (including audit findings and report contents) private and use it only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Warranties and Disclaimer
NTUS warrants that it will perform Managed Audits with reasonable professional care and skill. Beyond that express warranty, the platform and reports are provided “as is”. NTUS makes no warranty that your product will pass any regulatory inspection, procurement review, or legal proceeding based on an audit result.
10. Limitation of Liability
To the maximum extent permitted by Swedish law:
- NTUS’s total liability to you for any claim arising from a Managed Audit is limited to the fees paid for that specific audit.
- NTUS’s total liability to you for any claim arising from an Agency Platform subscription is limited to the fees paid in the three months preceding the claim.
- NTUS is not liable for indirect, consequential, or punitive losses, including lost revenue, lost contracts, regulatory fines, or reputational damage, even if advised of the possibility of such losses.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by NTUS’s gross negligence.
11. Term and Termination
11.1 Duration
These Terms remain in force for as long as you use Criterio services.
11.2 Termination for cause
Either party may terminate immediately on written notice if the other materially breaches these Terms and fails to cure within 14 days of written notice, or becomes insolvent.
11.3 Effect of termination
On termination of a Track 2 subscription, your portal access ends at the close of the current billing period. You retain the right to use reports generated during your active subscription. Outstanding invoices remain due.
12. Changes to These Terms
NTUS may update these Terms with 30 days’ notice for material changes (posted to criterio.eu/terms and notified by email). Your continued use after the notice period constitutes acceptance. For Agency Platform customers, if a change is materially adverse, you may cancel without penalty before it takes effect.
13. Governing Law and Disputes
These Terms are governed by Swedish law. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of Stockholms tingsrätt as the court of first instance.
